Unconventional Resource Operating Agreement Boyd Carano and Mingda Zhao will discuss key issues and options arising under the proposed 2014 Unconventional Resource Operating Agreement for use in international unconventional operations, together with some of the lessons learned from U.S. shale joint ventures entered into over the last decade. 10:30 ‐ 11:00AM 11:00 ‐ 12:30PM 12:30 ‐ 1:45PM Morning Coffee Break Delegates will split into two workshop groups to discuss in more detail the key issues, options and alternatives being considered by the drafting committees. Workshop 1 International Farmout Agreement Workshop 2 Unconventional Resource Operating Agreement Luncheon Presentation: Chevron’s Journey to Contracting Excellence Shelly Larkin, Supervising Counsel of Chevron Foundation Contracts Center, will discuss how Chevron’s Law Function is achieving Contracting Excellence and building Organizational Capability, to empower its lawyers to provide world class legal and contracting support to advance Chevron’s businesses worldwide. MONDAY, 23 JUNE, 2014 AFTERNOON SESSION, 2:00PM – 5:30PM 2:00 ‐ 3:30PM 2012 Model International Joint Operating Agreement AIPN launched the 4th revision to its Model International Joint Operating Agreement in 2012. This session, led by Harry Sullivan and Ben Welmaker, will review some of the key changes in the 2012 JOA and some of the more contentious provisions in the JOA and seek feedback from delegates on how the 2012 JOA has been received and discuss issues regarding its use in practice. *AIPN reserves the right to change the program and speakers unannounced and at any

3:30 ‐ 4:00PM 4:00 ‐ 5:30PM Afternoon Coffee Break LNG Projects Contracts Review Considering the ongoing debate about LNG exports from the USA and an increasing number of LNG export projects being developed in the Asia Pacific region and East Africa, Steven Miles and Harry Sullivan will lead a review of the contract structure and key contractual terms required for successful LNG projects. TUESDAY, 24 JUNE, 2014 MORNING SESSION, 8:45AM – 12:30PM 8:00 ‐ 8:45AM 8:45 ‐ 9:00AM 9:00 ‐ 9:45AM 9:45 ‐ 10:30AM Registration & Continental Breakfast Introduction – Ben Welmaker and Andy Waters, Co‐Chairs of MCWS 2014 International Drilling Contract and Services Agreements Bill Pugh (co‐chair of the drafting and revisions committees & AIPN VP Model Contracts) will lead a discussion concerning the new AIPN International Drilling Contract in development, and Services Agreements (Seismic Acquisition, Well Services and Master Service Agreement) under revision. They will describe the current status and identify the key issues that are being addressed. Area of Mutual Interest Agreement Frank Alexander (co‐chair of the drafting committee) will lead a discussion and seek input from delegates on the development of a new AIPN International Model Area of Mutual Interest (AMI) Agreement. The AMI seeks to utilize alternatives and options as necessary to reflect different approaches to AMIs in common use in the international petroleum industry. 10:30 ‐ 11:00AM Morning Coffee Break 11:00 ‐ 12:30PM Delegates will split into two workshop groups to discuss in more detail the key issues, options and alternatives being considered by the drafting committees. Workshop 1 International Drilling Contract and Services Agreements 12:30 ‐ 1:45PM Workshop 2 Area of Mutual Interest Agreement Luncheon Presentation: Ecopetrol’s Transformation and Its Quest for Competitiveness in a Global Market Adriana Plata Puyana, Negotiator in the E&P New Business Development Division at Ecopetrol S.A., will discuss the transformation that Ecopetrol has experienced since 2003; how the implementation of AIPN Model Contracts has been a cornerstone in its E&P New Business process; and explain the benefits and challenges identified during the application of those models. TUESDAY, 24 JUNE, 2014 AFTERNOON SESSION, 2:00PM – 5:30PM 2:00 ‐ 3:30PM International Gas Balancing Agreement Following the approval and launch of the new AIPN International Gas Balancing Agreement early in 2014, Graham Stewart (co‐chair of the drafting committee) will present an overview of the purpose and content of the model form as well as review the key features, options and alternatives in the model form that are designed to make it adaptable for use in varying circumstances with different seasonal considerations, gas field maturities, levels of market openness and commercial scenarios. *AIPN reserves the right to change the program and speakers unannounced and at any

Baptista, Schmidt,Valois, Miranda, Ferreira & Agel) and Keith Hall (Louisiana State University Law Center) consider Latin American civil law issues in the AIPN Model JOA and FOA. WEDNESDAY, 25 JUNE, 2014 MORNING SESSION, 8:45AM ‐ 12:15PM 8:00 ‐ 8:45AM 8:45 ‐ 9:00AM Registration & Continental Breakfast Introduction – Ben Welmaker and Andy Waters, Co‐Chairs 9:00 ‐ 9:45AM 9:45 ‐ 10:30AM The New PSC Regime and use of the JOA Model Form in Brazil Paulo Valois Pires will discuss the results of the 1st pre‐salt round in Brazil, main features of the new PSC regime and challenges for use of AIPN JOA form. US and International Perspectives on Shale Gas Developments Shale gas has transformed the US gas industry but has yet to have a major impact internationally. In this session, Chris Moyes will provide attendees with an update on shale gas developments in the US and internationally and consider the implications for commercial agreements. 10:30 ‐ 11:00AM Morning Coffee Break 11:00 ‐ 12:00PM Future AIPN Model Contracts The AIPN is constantly seeking to ensure that its model contracts are up to date and relevant for its members. In this session, Bill Pugh, AIPN VP Model Contracts, will lead a discussion considering which AIPN model contracts require updating. The session will specifically consider whether to update three AIPN model contracts relevant in the very early stages of accessing a new opportunity:  2007 Confidentiality Agreement  2006 Study and Bid Group Agreement  2008 Consultant Agreement for Business Development in a Host Country This session will also discuss whether the AIPN should consider creating any new model contracts. 12:00 ‐ 12:15PM Wrap up MCWS and Final Comments Ben Welmaker and Andy Waters, Co‐Chairs of MCWS 2014 *AIPN reserves the right to change the program and speakers unannounced and at any
