General Terms and Conditions
The sale specified on the face hereof shall be subject to the following
terms and conditions :
(1) Privity(당사자관계) : The contract shall be conducted on a Principal to
basis between Buyer and Seller.
(2) Quality(품질) : All shipments shall be conforming to samples with regard
to description, quality and state.
(3) Prices : Unless otherwise specified in cables, letters or E-mail, all prices by
Sellers or Buyers shall be quoted in US Dollars on the basis of CIF New
York.
(4) Quantity(수량) : Quantity set forth in this contract is subject to a variation
within ten percent(10%) more or less.

(6) Payment(지급) : Within 10 days from the date of this contract, Buyer shall
establish an irrevocable letter of credit. Unless otherwise agreed,

(5) Shipment : (a) Shipment : All the goods sold shall be shipped within
the time stipulated in each contract. The date of bills of lading shall be
taken as a conclusive proof of the date of shipment. Unless special1y
arranged, the port of shipment shall be at Sellers' option. Sellers is not
responsible for any delay of shipment, should buyer fail to provide a
letter of credit in conformity with the contract.
(b) Force Majeure : Sellers is not responsible for any failure or delay in
shipping the goods or performing its obligation under the contract owing
to war fires, earthquakes, tempests, strikes, lockouts, wars, riots, civil
commotions, hostilities, blockades, requisition of vessels, embargoes, or
any other causes beyond Sellers’s control.
(6) Payment : Within 10 days from the date of this contract, Buyer shall
establish an irrevocable letter of credit. Unless otherwise agreed, the
letter of credit available against beneficiary’s draft shall be opened in
favor of Seller without restricting the negotiating bank for an amount
equal to the total amount and shall be valid for at least fifteen(15)days
after the latest shipping date. Draft(s) shall be drawn at sight, documents
attached, for the full invoice amount under this irrevocable credit.

(7) Insurance(보험) : On CIF or CIP terms, insurance shall be effected by
Seller on all shipments on ICC (B) including War Risk for 110% of the
invoice amount.
Insurance Policies or Certificates shall be made out in U. S. currency, and
claims payable in New York.
(8) Industrial Property(산업재산권) : Seller is not responsible for any alleged
infringement with regard to patent, utility model, trademark, design or
copyright , of third party in any country.
(9) Marking and Numbering(화인 및 일련번호) : In the absence of any
special instructions, all cases shall be marked, WS in triangle, with the
port mark, running case numbers and country of origin.
(10) Claims(클레임) : Any claim from Buyer reach Seller within thirty(30) days
after the arrival of goods at the port of destination.
