Préambule
“Whereas SAS GROUPE possesses skills and know-how in the
software development field of and the Customer wishes to
entrust his project”;
« Considérant que SAS GROUPE possède des compétences et
un savoir-faire dans le domaine du développement de logiciel
et que le Client souhaite lui confier son projet
Pursuant to this, the CUSTOMER wishes to protect the
Confidential information which shall be required to be
communicated to SAS GROUPE.
Dans ce cadre, le Client souhaite protéger les Informations
Confidentielles dont la communication à SAS GROUPE serait
nécessaire.
The Parties hereby agree:

Article 1 – Definitions
Article 1 – Définitions
Agreement: means this confidentiality agreement.
Confidential Information: means information of any nature,
communicated by any and all means during the term of the
Agreement by the COSTUMER to SAS GROUPE.
Party(ies): mean(s) the COSTUMER and SAS GROUPE.
Accord : ce terme désigne le présent accord de
confidentialité.
Informations Confidentielles : cette expression désigne les
informations de toute nature, communiquées par tous moyens
pendant la durée de l’Accord par le CLIENT à SAS GROUPE.
Partie(s) : ce terme désigne le CLIENT et SAS GROUPE.
Article 2 – Purpose of the Agreement
Article 2 – Objet de l’Accord
The purpose of the Agreement is to set forth the rules
relating to the protection and use of the Confidential
Information which the COSTUMER wishes to communicate to
SAS GROUPE within the context described in the recitals.
L’Accord a pour objet de fixer les règles relatives à la
protection et à l’utilisation des Informations Confidentielles
que le CLIENT souhaite communiquer à SAS GROUPE dans le
cadre défini en préambule.
Article 3 – The Parties’ Obligations
Article 3 – Obligations des Parties
SAS GROUPE expressly undertakes, for a term of 15 YEARS
as from the date when it is communicated, to ensure that this
information:

remains strictly confidential and is treated with the same
degree of protection with which SAS GROUPE treats its own
Confidential Information;

is only provided to those members of its staff who require
knowledge thereof, and that it is only used for the purposes
set forth in the recitals hereto.

Any and all communication or use of the Confidential
Information shall require the prior and written authorisation
with the CUSTOMER.
Toute autre communication ou utilisation des Informations
Confidentielles implique le consentement préalable et écrit
avec CLIENT.
SAS GROUPE further undertakes to ensure that its staff,
referred to in b) hereinabove, comply with the provisions of
the Agreement.
Article 4 – Exceptions
SAS GROUPE s’engage à ce que son personnel visé au b) cidessus respecte les dispositions de l’Accord.
Notwithstanding the provisions of Article 3, SAS GROUPE may
communicate the Confidential Information for which it is
able to provide proof:
Nonobstant les dispositions de l’article 3, SAS GROUPE peut
communiquer les Informations Confidentielles dont elle
peut apporter la preuve :
- that is was available to the general public prior to its
communication, or subsequent
- qu’elles étaient disponibles publiquement préalablement à
leur communication
Article 4 – Exceptions
Confidential
- thereto, provided no negligence may be attributed to it;
- that it was legally received from a third party;
- that it was already in its possession prior to the execution
of the Agreement;
- that it was developed independently, and in good faith, by its
members of staff who did not have access to the Confidential
Information.

- qu’elles ont été reçues d’un tiers de manière licite ;
- qu’elles étaient déjà en sa possession avant la conclusion de

- qu’elles ont été développées de manière indépendante et de
bonne foi par des membres de son personnel n’ayant pas eu
accès à ces Informations Confidentielles.
Article 5 – Limits of the Agreement

No provision of this Agreement shall establish:
Aucune disposition de cet Accord n’implique :
- an obligation for the Parties to enter into future contractual
relations;
- a waiver, by CUSTOMER, as regards the protection of
Confidential Information by means of a patent, or by any and
all other intellectual property right;
- an assignment, by the CUSTOMER, of any and all right over
this information for the benefit of SAS GROUPE. In all cases,
the right of ownership of the Confidential Information shall
belong to the CUSTOMER (subject to third party rights).
- une obligation pour les Parties de se lier contractuellement
dans l'avenir ;
- une renonciation, pour le CLIENT, à la protection
d‘Informations Confidentielles par un brevet ou par tout
autre droit de propriété intellectuelle ;
- une cession, par le CLIENT, d’un quelconque droit sur ces
informations au profit de SAS GROUPE. Le droit de propriété
des Informations Confidentielles appartient en tout état de
cause au CLIENT (sous réserve des droits des tiers).
Article 6 – Transmission of Confidential Information

The transmission of Confidential Information shall comply
with the following procedure:

Confidential Information shall only be communicated by
COSTOMER at SAS GROUPE per email at
[email protected].
Les Informations Confidentielles doivent être
communiquées uniquement par le CLIENT à SAS GROUPE
par email à [email protected].
Article 7 – Destruction of Confidential Information
Article 7 – Destruction des Informations Confidentielles
The Confidential Information, and any and all reproduction,
shall be destroyed to the SAS GROUPE upon receipt of an
ordinary written request and, in all cases, within 180 days
following the expiry or termination of the Agreement. SAS
GROUPE undertakes to provide a certificate of destruction.
Les Informations Confidentielles, ainsi que leurs
reproductions éventuelles, sont détruites par SAS GROUPE
sur sa simple demande écrite et en tout état de cause dans
les 180 jours suivant l’expiration ou la résiliation de l'Accord.
SAS GROUPE s’engage à fournir un certificat de destruction.

Article 8 – Secrecy concerning the Agreement
Article 8 – Secret de l’Accord
The Parties undertake to maintain secrecy as regards the
signing and performance of the Agreement.
Les Parties s’engagent à garder secrètes la signature et
l'exécution de l’Accord.
Article 9 – Entirety of the Agreement
Article 9 – Intégralité de l’Accord
The Agreement reflects the entirety of the undertakings
made by the Parties within the context set forth in the
recitals. It cancels and replaces the written or oral
agreements concluded by the Parties prior to its signature.
L’Accord traduit la totalité des engagements pris par les
Parties dans le cadre défini en préambule. Il annule et
remplace les accords écrits ou verbaux conclus entre les
Parties antérieurement à sa signature.
Article 10 – Termination of the Agreement
Article 10 – Résiliation de l’Accord
The Agreement may be terminated by either Party, by
registered letter with acknowledgment of receipt, at any time
and automatically, in consideration of 30 days’ notice.
L’Accord peut être résilié par l’une ou l’autre des Parties,
par lettre recommandée avec accusé de réception, à tout
moment et de plein droit, avec un préavis de 30 jours.
Article 11 – Term of the Agreement
Article 11 – Durée de l’Accord
The Agreement shall become effective as from the date of its
signature by the Parties. It shall be concluded for a term of
project duration.
L’Accord entre en vigueur à compter de la date de sa
signature par les Parties. Il est conclu pour une durée du
projet.
Notwithstanding expiry or termination under the conditions
set forth in Article 10 hereof, the Parties shall remain bound
by the undertakings made in Article 3 during the whole term
provided for in said Article, and by Articles 7, 8 and 14 of the
Agreement.
Nonobstant l’expiration ou la résiliation dans les conditions
prévues à l’article 10 de l’Accord, les Parties demeurent
liées par les engagements souscrits à l’article 3 pendant
toute la durée prévue audit article, ainsi que par les articles
7, 8 et 14 de l’Accord.
Article 12 – Language of the Agreement
Article 12 – Langue de l’Accord
Two versions of the Agreement shall be drafted, to wit in
French and in English. In the event of a difficulty in
construction, the French version shall be deemed authentic.
L’Accord est établi en deux versions, à savoir en langue
française et en langue anglaise. En cas de difficulté
d’interprétation, la version française fait foi.
Article 13 – Governing law
Article 13 – Loi applicable
The Agreement shall be governed by French legislation and
regulations.
L’Accord est soumis aux lois et règlements français.
Article 14 – Jurisdiction
Any and all disputes, which the Parties are unable to settle
out-of-court, shall be referred to the French Courts having
jurisdiction.
Article 14 – Juridictions compétentes
Tous différends que les Parties ne peuvent résoudre à
l'amiable, sont portés devant les tribunaux français
compétents.
