Agreement is only effective when received by JM Ocean Avenue (within 15 days of my online registration).
JM Ocean Avenue has the right to withhold any commissions due to me if I fail to submit this Independent
Distributor Agreement by the stipulated period.

of your jurisdiction).
I certify that all the above information is true and correct. I have read and agree to the Terms and Conditions contained on the
reverse side of this document. I understand that this Independent Distributor Agreement is only effective when received by JM
Ocean Avenue (within 15 days of my online registration). JM Ocean Avenue has the right to withhold any commissions due to me
if i fail to submit this Independent Distributor Agreement by the stipulated period.
INDEPENDENT DISTRIBUTOR AGREEMENT
I understand and agree to the following:

1. I hereby apply for JM Ocean Avenue Distributorship. I am of legal age (18 and above), a citizen/permanent resident of the country within which I enter into this Agreement.
2. I am responsible for filing all returns and documentations required by the taxing authorities within which I reside and pay all taxes
due from all earnings arising from my sales activities as a Distributor as mandated by law.
3. I understand that I am an Independent Distributor and not an employee nor a joint venture partner of JM Ocean Avenue and that
I am not authorized to act for and on behalf of JM Ocean Avenue or any of its affiliates, directors, management or any of its authorized representatives or agents in any way.
4. As an Independent Distributor of JM Ocean Avenue, I undertake to abide by the existing Policies and Procedures, Code of
Ethics and JM Ocean Avenue’s Marketing Plan, as published by the company.
5. I will present truthfully and honestly the JM Ocean Avenue’s products and Marketing Plan as stated in JM Ocean Avenue’s
official business materials, literatures and websites. I will not make any false or misleading representations concerning JM Ocean
Avenue, its products and Marketing Plan.
6. Trademarks, logos, service marks are all intellectual properties of JM Ocean Avenue. I am fully aware that use of these in any
advertisement would require a prior written approval from JM Ocean Avenue.
7. I will not use or disseminate any literature or written sales tools and materials other than those supplied to me by JM Ocean
Avenue nor will I alter or modify any of its content without prior written approval from JM Ocean Avenue. Further, I will not alter,
re-label nor change or modify any of the JM Ocean Avenue’s product and its packaging to any other form, unless otherwise
approved by JM Ocean Avenue.
8. All JM Ocean Avenue’s products purchased and sold by me are subject to the warranties, disclaimers and procedures applicable
to the products at the time and date of purchase.
9. I will not state, infer or represent to any prospective JM Ocean Avenue’s Distributor that any specific network organization may
be built or maintained or that any specific level of income may be earned or anticipated from JM Ocean Avenue’s Marketing Plan.
10. My Distributorship with JM Ocean Avenue as a Distributor will lapse if I fail to maintain sales for the period of twelve (12) months
without prior notification or reminder from JM Ocean Avenue. I may re-apply only after the date of termination by fulfilling all requisites needed for new distributor application.
11. I understand that I have to submit a written notification should I wish to terminate my Distributorship with JM Ocean Avenue. I
agree to the stated policy that I am not allowed to re-join the JM Ocean Avenue within twelve (12) months from the date of termination.
12. JM Ocean Avenue will only refund products returned in good order and condition; unopened, unaltered and restockable, within
the Cooling Off Period (as defined by the laws of the jurisdiction of Distributor’s Residence) of up to ten (10) working days from the
date of purchase.
13. I understand and agree that JM Ocean Avenue will auto debit 10 PV per annum from my account, as maintenance fee for my
Distributor Personal Web System.
14. I understand that JM Ocean Avenue may take appropriate action against my Distributorship any time in case of abuse, breach
or violation of any of the Terms and Conditions of this Agreement, and/or any existing Policies and Procedures; or be engaged in
any conduct or activity which may bring dispute upon JM Ocean Avenue; or which violates any government law, regulation or
ordinance which may impugn JM Ocean Avenue’s reputation and good standing.
15. All translations of this Agreement are based on the English version. In the event that there is any inconsistency in the meaning of
any translated version of this Agreement, the English version shall prevail. Hence, in case of any dispute between JM Ocean Avenue
and the Distributor, this document in English shall prevail as basis for the interpretation of the intention of the parties. In its current
form and as amended by JM Ocean Avenue at its discretion, constitutes the entire contract between Ocean Avenue and myself. Any
promises, representations, offers, or other communications not expressly set forth in the Agreement are of no force or effect.
