The Guarantor,
whereas above mentioned Lease has been entered into between Lessor and Lessee
declares that it hereby irrevocably and unconditionally guarantees, by means of an
independent undertaking towards the Lessor or the Lessor’s assignee/assignees, all
amounts that the Lessee may owe the Lessor or the Lessor’s assignee/assignees pursuant
to the abovementioned lease, or any possible extension thereof (including damages
charged to the Lessee), or on account of services performed for the Lessee, with the
exclusion of claims by the Lessor in respect of compensation for lost rent instalments or
other claims of the Lessor that are not eligible for verification resulting from early
termination of the lease pursuant to Articles 39, 238 or 305 of the Bankruptcy Act
(Faillissementswet) or another insolvency regime (insolventieregeling) (hereinafter
referred to as ‘excluded claims’).
These obligations of the Guarantor are limited to the maximum guarantee amount.
At the first written request of the Lessor or the Lessor’s assignee/assignees, by registered
mail or courier, the Guarantor undertakes to pay the Lessor, without demanding any
specification of the reasons or further proof, all amounts demanded by the Lessor in the
aforesaid written request from the Guarantor pursuant to this guarantee, taking into
consideration the abovementioned maximum amount, with the exception of any amount
relating to excluded claims. The statement must contain confirmation from the Lessor that
excluded claims are not part of the amount claimed.
Unless the Lessor or the Lessor’s assignee/assignees files any claims on the Lessee in
writing to the Guarantor before the due date specified below, this guarantee will expire six
months after the date on which the leased property is actually vacated and the lease is
terminated – which expiry date will be determined in a binding manner by the Lessor or
the Lessor’s assignee/assignees – or earlier if the Lessor or the Lessor’s
assignee/assignees, subject to returning this guarantee, give the Guarantor notice in
writing that the Lessor or the Lessor’s assignee/assignees have nothing more to claim from
the Lessee and the Guarantor under this guarantee. However, this guarantee expires in any
case in full and automatically on the Expiry date.
This guarantee must be returned to the Guarantor after expiry.
This guarantee shall be governed by and construed in accordance with Dutch Law and
shall be subject to the exclusive jurisdiction of the courts in the Netherlands.
