 英文经济合同的写作不是基础英语的写作，也不是简
单的英文商务信函的写作，而是正式的法律文件的写
作。
对外经济合同中英文的语言特点
——使用正式的法律用词

The Appendix hereto shall, through the contract period, be deemed (被认为)

——同义词连用

对一些关键性的词采用同义词连用以克服由于英语词一词多意可能产生
的语意不明、避免合同双方按各自的意图来理解合同条文。

The Engineer shall have authority to issue to the Contractor, from time to
time, such supplementary Drawings and instructions as shall be necessary for
the purpose of the proper and adequate execution and completion of the
works and the remedying of any defects therein. 工程师有权随时向承包人
发出为合理和恰当施工，竣工及修补工程中的缺陷所必须的补充图纸和
指示。
“施工，竣工及修补工程中的缺陷”用了两个and (execution and
completion of the works and the remedying of any defects )。
根据一般国际承包工程的做法以及国际工程承包法规（FIDIC合同条款）
的规定，工程分为两个阶段完成：



第一个阶段为：设计、施工和竣工。完成后承包人获得业主签发的移交证
书(Taking-over Certificate)。
第二个阶段为修补工程中的缺陷。完成后承包人获得业主签发的缺陷责任
证书(Defects Liability Certificate)。届时，承包人和业主双方的合同义务都
已解除。
若用execution，completion of the works and the remedying of any defects ，
则意味着两个阶段合并为一个阶段，使承包人该移交的工程不能交出去。

进行对外经济合同文件写作时，在用词上不但要求准确，
而且要求简洁。

英语中某些副词如“here”和 “where”在法律文件中往往当
作前缀，与另外一个词构成一个正式法律词汇中的副词，
在法律文件中用这些词，可以避免重复，使行文准确、简
洁。

对外经济合同文件是法律文件，为了维护法律的权威性，
在进行此类文件的英文写作时，常常使用那些我们平时不
常用的、法律文件中专用的正式词汇。

All disputes arising from the performance of this Contract shall, through
amicable negotiations, be settled by the Parties hereto. Should, through
negotiation, no settlement be reached, the case in question shall then be

Arbitration Commission, Beijing and the arbitration rules of this Commission
shall be applied. The award of this arbitration shall be final and binding upon
the Parties hereto. The Arbitration fee shall be borne by the losing party

“Tests on Completion” means such tests specified in the Contract or

“Contract Products” means the products specified in Appendix 2 to this
Contract, together with all improvements and modifications thereof or

A sales contract refers to a contract whereby the seller transfers

A contract for supply and use of electricity refers to a contract
whereby the supplier of electricity supplies electricity to the user

The Works shall be measured net, notwithstanding any general or local
custom, except where otherwise provided for in the contract. 无论通常的和

Notwithstanding the provisions of this Clause or any other Clause of the
Contract, no payment certificates shall be issued by the Engineer until the
performance security is submitted by the Contractor under the Contract and

句子结构

国际经济合同文件及其法律文件中的英文句子具有结构严
谨、句式较长的特点。

为了做到准确、严密、清楚、易解，这类英文句子的结构
有其自己的一定规则，较典型的就是状语的位置。
主句中状语的位置



一般应放在shall, may等情态助动词之后，行为动词之前。
A listed company shall, pursuant to laws and administrative
regulations, make public periodically its financial and
operational conditions. The listed company shall, in each fiscal
year, publish its financial statements once every six months. 上
市公司必须按照法律、行政法规的规定，定期公开财务状
况和经营情况，在每会计年度内半年公布一次财务会计报
告。
A foreign company may, pursuant to this law, establish branches
within the Territory of China, and may engage in production and
operational activities. 外国公司依照本法规定可以在中国境内
设立分支机构，从事生产经营活动。
从句中状语的位置


如果法律文件中的句子为复合句，则从句中状语的位置通
常应放在连词if 或when等的后面，从句句子的前面。
If, during the effective term of a takeover offer, the purchaser
needs to alter any items in the takeover offer, the purchaser shall
submit a report to the securities regulatory authorities under the
State Council and the stock exchange in advance. The purchaser
shall, after approval of the report, make the fact in question
know to the public. 在收购要约的有效期限内，收购人需要

从句简略形式在句中的位置


如果主从句中的从句是简略形式，则从句应插入主句之中，
并应该放在shall之后行为动词之前。
The Contractor shall, if called upon so to do, enter into and

the cost of the Employer in the form annexed to these conditions
with such modifications as may be necessary. 在被邀请签约时，

关于such as的用法



由于法律文件的语言要求严密、准确，以避免似是而非，造成误解，通
常用such as作关系代词来引到从句，把所修饰的词或词组放在such和
as之间，这样使意思明确，从而避免了日后因理解不一致引起纠纷。若
所修饰的词组较多较长，有时可用such such as的结构。
若用基础英语中常用的which,that来作关系代词引到定语从句，容易引
起争议。

关于such as的用法


safeguard measures to remove or ease such injury or threat of
injury. 因进口产品数量增加，使国内相同或者与其直接竞争
的产品的生产者受到严重损害或者严重损害的威胁时，国

mutual benefit and through friendly consultations, agree to
jointly invest and set up a joint venture enterprise in Beijing, the
People’s Republic of China. The Parties to this Contract hereby
signed and concluded this Contract.

国中外合资企业法》和中国其他有关法规，本着平等互利
的原则，通过友好协商，同意在中华人民共和国北京市，
共同投资建立合资经营企业，特订立本合同。

The productive and business scope of the joint venture company

The technical conditions, quality, standard, specifications and
quantity of the object of the contract;合同的技术条件、质量、

The registered capital of the Joint Venture Company shall be the
same as the total amount of the investment, I.e. 4.5 million U.S.
dollars (Four million and Five Hundred Thousand U.S. Dollars).

合资公司的注册资本和投资总额相同，即为450万美元。

Whether the contract is assignable and, if it is, the conditions for

Waiver of Default:


The fact that either Party fails to enforce at any time any of the provisions
of this Agreement, or the other Party fails to require at any time the
performance of any of the provisions thereof, shall, in no way, be
construed to be a waiver of such provisions, and shall, in no way, affect
the validity of this Agreement or any part hereof, or the right of the Party
in question(该方) thereafter to enforce each and every such provision.
违约弃权：

在本协议执行期间，不论哪一方在任何时候没有执行本协议的条款，
或另一方请求不执行其中某项条款，决不能理解为放弃这些条款，
也决不影响本协议或其中任何条款的有效性和该方以后执行各条款
的权利。

When any dispute occurs and when such dispute is under
arbitration, except for the part under dispute that is subject to the
arbitration, the Parties to this Contract shall, in accordance with
the Provisions hereof, continue to exercise their respective rights
and perform their respective obligations.
在发生争执并将争执提交仲裁的过程中，除所提交的争执
部分外，双方都应该按本合同的规定，继续执行各自的权
利和履行各自的义务。

This agreement is written in Chinese and English language and
is signed in triplicate by Party A and Party B as follows:

In case of difference of interpretation, the English version shall be valid
for the Parties hereto.
本合同用中文和英文两种文字写成，一式三份，经甲乙双
方签字如下：

如因翻译而出现解释上的差异时，双方应以英文本为准。
不可抗力条款(Force Majeure)

Should the effect of force majeure continue more than 6 (six)
months, the Parties to the Contract shall, through amicable
consultation, settle the further execution of the Contract as soon
as possible. If no agreement is reached, the case in question
shall, then, be settled through arbitration as specified in Clause
12 thereof.

若不可抗力持续6个月以上，合同双方应尽快通过友好协商，
调整继续履行合同的事宜。若双方不能达成协议，则应按
合同第12条的规定，通过仲裁来解决。
