Slide 24
Election of Officers &
Directors
2010 to 2011 Terms
Bylaws Limit of Directors
• The NCDXC Bylaws set the number of
elected directors to 2
• For the last couple of years we have had
more than 2 qualified people interested in
serving as a director
• Last year we established an “Ex Officio”
position (non-voting)
• This year we have 4 very well qualified
announced candidates for director
NCDXC June 10
Slide 26
Directors Election
• If we have 4 nominated candidates for
director we will need to go to a written
ballot
• The two candidates who receive the most
votes will be elected
• The other two will not be able to serve
under the current Bylaws
NCDXC June 10
Slide 27
Revisions to the Bylaws
• The membership of the NCDXC may change the Bylaws
via a vote at a regular scheduled club meeting
• It is proposed that we vote to increase the number of
elected directors to 4
• One suggestion is that we set the
minimum number at 2 and a maximum of
4 and allow the board to set the number to
be elected each year
• Do I have a motion to increase the number of directors?
• Second?
• Vote
