Don Wood

Professional Profile
Born and raised in Canada, Don is a career long entrepreneur, owning and operating several
business ventures over the last thirty years. Don started running a family surgical instrument
manufacturing business at the age of twenty one after passing on an opportunity to play
professional hockey in Europe. Over the next four years he arranged a deal with a venture
capital firm that acquired a minority interest in the family business. That experience led him to
enter the financial services business. For 10 years he operated as president of Tridon
Financial Group, a financial services company specializing in insurance, mortgages and real
estate. Developed from a startup, Don successfully developed the insurance brokerage
business to over $75 million in annualized written business with offices across the country.
In 1992, Don and his family moved to Florida and started a non-profit missing child
organization called Child Watch of North America. As President
of Child Watch he attracted national partnerships with Shell Oil, Texaco, AT&T, Staples, Toys
R Us, Pizza Hut, Continental Airlines, KB Toys and
Epson. Mr. Wood developed and successfully implemented major marketing campaigns with
these major corporations. In June 2003, Shell Oil distributed
over one million photo ID card kits to new and existing customers. Over a three year period
Shell and Texaco saw a 89% increase in phone card sales by
adding pictures of missing children to the product and point of sale material (nine children
were also successfully recovered). Mr. Wood has been
featured on many major television broadcasts including CBS 48 Hours, Primetime Live and
Geraldo. Child Watch has successfully recovered over 200
missing children.
While still actively involved in Child Watch, in 2001 Don served for 5 years as CEO/President
of the Hard Rock Academy, a brand extension of Hard Rock Cafe International.

It seems that each decade enjoys some type of stimulus or incentives that drives the development of alternate energy projects.
During the 80’s, emphasis was placed on reducing source emissions from and improving efficiency of traditional energy
systems such as landfills and steam plants. New, high efficiency plants replaced older, less efficient systems. Coal boilers
were quickly becoming a way of the past.
The late 80’s, 90’s and early 2000 gave rise to a directionally different stimulus. The natural gas industry recently underwent
de-regulation as a result of a complex set of initiatives with producers and customers. This set the way for the electric industry
to open its doors to a similar initiative. The net result produced a golden opportunity for independent developers to compete
against utilities using initiatives mandated by state and federal governments. Non-utility energy companies were now allowed
to compete with utilities and utilities were required to provide interconnection to their grid and provide back-up service.
The late 2000 era is now providing a different sort of stimulus that encourages the growth and usage of renewable resources.
A resurgent interest in proven technologies such as wind and solar are being highlighted. Alternate energy resources such as
landfill gas, waste-to-energy and thermal systems are once again being sought as an efficient and non-polluting way to satisfy
the energy needs of the Country. The US Treasury has made available a direct payment of 30% of project capital for such
projects. Various federal tax incentives exist and the opportunity to capture stimulus money allocated to the states is real.

Andover, MA - Replaced over (600) 400 watt high pressure
sodium fixtures with 200 watt pulse start-metal halide fixtures
that came with patented adjustable inner reflector system and
motion sensor controls. This relationship aligned us to be
contracted by SUPERVALU as their Manager of Facilities &
Operations Services - with duties of identifying other energy
projects for corporate facilities and contracted franchises.

Sweetbay Supermarket
Due to a relationship developed with Hannaford (a sister
division), TEI was awarded a contract in 2004 by a general
contractor awarded a (100) store renovation program that
dealt with transitioning the older Kash N’Karry name over to
the new Sweet Bay name. TEI provided an array of project
manager services dealing with replacing main sales floor
lighting. *(this agreement aligned opportunities with larger
national programs).
Meijer, Inc.
TEI was contracted as a project manager in 2005 by
Meijer to oversee and deploy an energy efficiency
program dealing with replacing app. 80,000 lighting
fixtures spread across over 16M sq. ft. of retail space. This
aggressive program turned out to be the largest of its kind
in the US that year. This program aligned TEI to be
contracted in 2006 through 2007 by a leading national
labor contractor (IES) who had similar contracts in place
with Wal-Mart, Kmart, and Kroger.

NERC Training
The centerpiece of TEI’s Development capability is a unique relationship with NERC (North America Reliability Corporation)
which controls the Bulk Electric System (BES – better known as The Grid). Technicians who operate the Grid must be
certified by NERC and then maintain their certification with 50-70 hours of continuing education (CE) per year. TEI will be one
of the select few organizations authorized by NERC to provide this training to operators and award them CE credits. NERC
has approximately 100 Reliability Standards with which all entities connected to the Grid must comply.
In June 2009 FERC (Federal Energy Regulatory Commission) appointed NERC as its enforcement agency for reliability
standards. Prior to this date the NERC standards had been voluntary even though most entities connected to the Grid were
already members. However, the FERC appointment gave NERC the authority and mandate to assess fines for non
compliance to the Reliability Standards. TEI’s classes for Certified System Operator (CSO’s) are all based on the NERC
Standards. Each class carries full Standards credits and some also provide emergency credits also required for CSO’s)
The relationship with NERC also provides access to all the entities connected to the Grid. These entities need assistance with
the reliability standards audits and since TEI writes the classes for operators based on these standards, assisting clients with
compliance is a natural follow on business. TEI NERC services include a Subscription Service to alert clients to changes in
Standards, new Standards, interpretations resulting from audits and other similar information. This service includes
Compliance Audit Support services to assist clients with their preparation and documentation for their compliance audit. TEI
has access to NERC data including which entities are going to be audited, when and on which standards the audit will focus.

UCF Business Incubation Program
Team Energy Inc. has been chosen as one of the inaugural businesses to set up an
office at the brand new UCF Business Incubator in St. Cloud, FL. Construction is
scheduled to complete before the second half of 2010, so Team Energy is planning
to move in very soon.
The goal of the UCF Business Incubation Program (UCFBIP) and its community
partners is to facilitate smarter, faster startup and growth of emerging companies so
those companies will become financially successful, high growth companies in the
community.
UCFBIP clients are provided an array of business development services and
resources to help accelerate growth. The formal incubation process takes place
through a series of strategic and tactical working sessions. The strategic sessions
are designed to help define the company business, market and capital strategies and
to build the business plan. Expertise and resources are identified for the company to
utilize in addressing tactical needs as they are identified through the strategy
sessions or through other informal interactions with Incubator staff and advisors.
Regular education and networking programs also are designed to address the
shared needs identified among UCFBIP clients. Graduation takes place when a
client has achieved a level of financial and corporate growth that enables them to
leave the incubator and enter the second stage of corporate growth.

Executive Summary
The attached spreadsheets define a 5 year pro forma for the various segments of the Team Energy components. Founded in
1995 by Chris Scerra, its early focus was in demand side project development. TEI's core management team today has
extensive supply side development experience as well as equal knowledge on NERC standards and processes. We also
focus on staying in touch with technology advances and pride ourselves on providing attentive customer service through our
experienced support staff.
The NERC relationship affords TEI with a level of credibility and access to the power industry that sets it apart from other
developers. The seasoned veterans of the team help to focus on successful development opportunities by identifying fatal
flaws early in the pre development analysis process. The Smart Grid style application of state of the art technology drives
TEI design, construction and operations. and in house “Nerd Nest” keeps all aspects up to date with the latest technological
advances.
Development capital is needed to advance TEI to the next level. Because of existing relationships, the capital needed to
obtain the NERC status required to provide online training and Compliance Audit Support is modest. The expertise and
experience in writing the classes and Compliance Alerts is already resident in the core team, who have successfully
developed NERC curriculums for Engineering schools such as Iowa State University and participated in Federal grant
proposals for Smart Grid training with ISU, Georgia Tech and Texas A&M; and obtained “NERC Approved CE Provider” status
for other consulting groups.
Capital for specific supply side and demand side projects is needed to move the projects which have been identified as viable
through the predevelopment stages to obtain Energy Performance Contracts, Power Purchase agreements, fuel and
entitlement agreements. Most of this work is within the expertise of the TEI core team. Many of the outside vendor
requirements for predevelopment are also available on a success basis. Costs to be covered by development capital are
detailed in the attached pro forma.
