法律变更
• 社会资本的投标价格已涵盖当前/未来法律合规性的风险

• 项目合同约定由社会资本承担所有的法律变更风险是不经
济的
• 法律变更风险由各方分担
• 若成本可转嫁给终端用户，则法律变动的风险则视为社会
资本的风险
法律变更
• “歧视性法律变更” 即法律变更仅适用于:
(a) 该项目，而不适用于其他类似PFI项目；
(b) 承包商，而不适用于其他人；和/或
(c) 项目公司，而不适用于其他人。
• “特定的法律变更” 即指适用于 “与该服务相同或近似的服务”之
提供的法律变更或涉及以提供“与该服务相同或近似服务”为主营业
务的公司股权的法律变更。
• “一般性法律变更” 指不属于歧视性法律变更和特定性法律变更的
其他变化。
法律变更
• 政府承担歧视性和特定的法律变更风险
• 社会资本通常承担一般性法律变更风险，但是风
险经常按比例共同承担
政治风险管理
• 大型PPP项目可能对项目所在国产生重大影响（如改变通
往市场的路径或在城市之间建立有形的联系）
• 其他司法辖区的经验证明，最好的PPP项目有广泛的公众
基础和政治支持
• 政治风险应放在项目架构中去考虑，旨在确保项目架构能
获得长期的政治认同
– 收入中超过某个约定IRR比例的部分用于投资公共项目；
或
– 非营利模式PPP？
